Terms and Conditions
Effective Date: January 1, 2026
Welcome to OnePe. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (whether as an individual restaurant owner, a business entity, or an end-customer) and OnePe, regarding your access to and use of the website https://onepe.in and the OnePe QR-based ordering and POS platform (collectively, the “Platform”).
By accessing our Platform, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. Definitions
- "OnePe" / "Platform": The technology provider, including the software, QR code systems, and POS interfaces.
- "Merchant": Restaurant owners or managers who subscribe to OnePe services.
- "User" / "Customer": Individuals who scan QR codes at Merchant locations to view menus and place orders.
- "Services": Digital menu hosting, QR ordering, POS billing, and inventory management tools.
2. Eligibility and Registration
- To register as a Merchant, you must be a legally recognized business entity in India with valid documentation (GST, FSSAI, etc.).
- You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
3. Subscription Models and Billing
OnePe operates on a subscription-based "Software as a Service" (SaaS) model.
- Subscription Plans: Merchants may choose between a Monthly Subscription or an Annual Subscription.
- Pricing Incentive: Annual plans are offered at a discounted rate compared to the cumulative cost of twelve monthly payments. By opting for the Annual Subscription, the Merchant agrees to a one-time upfront payment for the year.
- Automatic Renewal: Unless cancelled, subscriptions will automatically renew at the end of the billing cycle (monthly or annually) using the payment method on file.
- Taxes: All subscription fees are exclusive of GST, which will be charged at the prevailing rate as per Indian Tax Laws.
4. Payments and Settlement
- Subscription Payments: Must be paid in advance. Access to the POS and QR system may be suspended if payments are not cleared within [3] days of the due date.
- Customer Transactions: OnePe facilitates payments between Customers and Merchants via integrated third-party payment gateways (UPI, Cards, Net Banking).
- Settlement: Funds collected on behalf of the Merchant (minus applicable transaction fees) will be settled to the Merchant’s registered bank account within [T+2] business days.
- Transaction Responsibility: OnePe is a facilitator. We are not responsible for payment failures caused by the Customer’s bank or the third-party payment aggregator.
5. Merchant Responsibilities (FSSAI & GST)
- Compliance: Merchants must maintain a valid FSSAI License and adhere to all food safety standards.
- Invoicing: It is the sole responsibility of the Merchant to generate and provide a valid GST Invoice to the Customer for the food and beverages sold.
- Menu Accuracy: Merchants must ensure that prices, taxes, and availability listed on the digital menu are accurate.
6. Customer (User) Terms
- Ordering: By placing an order via the OnePe QR system, the Customer enters into a direct contract with the Merchant.
- Cancellations: Once an order is sent to the kitchen via the Platform, it cannot be cancelled or refunded unless explicitly agreed to by the Merchant.
7. Refund and Cancellation Policy
- Subscription Refunds: Subscription fees (Monthly or Annual) are generally non-refundable. If you cancel an annual plan mid-term, you will retain access until the end of the current billing cycle, but no prorated refund will be issued.
- Order Refunds: Any dispute regarding food quality, wrong items, or missing orders must be settled directly between the Customer and the Merchant. OnePe will only intervene in cases of confirmed technical payment failures (e.g., amount debited but order not placed).
8. Intellectual Property
All software, designs, logos, and trademarks related to OnePe are the exclusive property of OnePe. Merchants are granted a non-transferable, limited license to use the system for their business operations during the subscription period.
9. Limitation of Liability
OnePe shall not be liable for any loss of profits, data, or indirect damages arising from:
- Temporary downtime of the Platform for maintenance.
- Internet connectivity issues at the Merchant’s location.
- Disputes between the Merchant and their Customers.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any legal proceedings or disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.
11. Termination
We reserve the right to terminate or suspend your account if you violate these Terms, fail to pay subscription fees, or engage in fraudulent activities.
